Terms & Conditions

1. Introduction and Agreement Overview

These Terms and Conditions apply to all sales of goods ("Goods") by What Plastics Limited ("What Plastics", "we", "us", "our"), a company registered in England and Wales under number 15397513 and whose registered office is at Unit 8B, Woodside Farm, Woodland Road, Dodford, Bromsgrove B61 9BT, to the buyer ("Customer", "you", "your"). By placing an order or accepting a quotation for Goods, you agree to be bound by these Terms and Conditions, which constitute the entire agreement between the parties.

If you have a specific trade agreement with us, the terms of that agreement may modify or override these Terms and Conditions. Where applicable, both parties must acknowledge and confirm such agreements in writing.

 
2. Goods

The Goods sold by What Plastics include recycled plastic sheets and other related products. The descriptions of the Goods are provided in our sales documentation and/or quotations. While we strive to ensure that the Goods meet the specifications provided, due to the nature of recycled materials, slight variations in colour, texture, or finish may occur.

It is the responsibility of the Customer to ensure that the Goods meet their specific needs and to confirm that the Goods comply with any applicable regulations or building codes.

 
3. Price and Payment

All prices quoted for the Goods are in GBP (£), unless otherwise stated. Prices are exclusive of VAT and any other taxes, duties, or levies imposed by applicable law. The prices provided in our quotations are valid for 30 days from the date of issuance unless otherwise agreed in writing.

Payment for Goods must be made in full upon receipt of our invoice. Invoices will be issued after the Goods are delivered or as agreed in the case of special orders. Payment terms will be outlined on the invoice, and payment must be made before the Goods are dispatched unless otherwise agreed in writing. If credit terms are extended to you, any outstanding amounts will accrue interest at a rate of 4% per annum above the Bank of England base rate if not paid within the specified term.

 
4. Cancellation and Alteration

Once an order is confirmed and a contract is formed, cancellations or alterations are not possible unless agreed upon by both parties in writing. If you cancel or alter an order after confirmation, you may incur cancellation fees or costs associated with the alteration of the Goods.

If you cancel an order before production begins, we will refund any advance payments made. If production has commenced, or if custom specifications were provided, the Goods may be subject to a cancellation fee or forfeit of any advance payments.

 
5. Delivery

We will arrange delivery of the Goods to the address provided by the Customer unless otherwise agreed. Delivery times are estimates and are not guaranteed. What Plastics is not liable for any delays due to factors outside of our control, including but not limited to adverse weather conditions, industrial action, or transport delays.

The Customer must ensure the delivery address is correct and accessible for delivery of Goods, especially larger or bulkier items. Any failure to collect or accept delivery of Goods may result in additional charges for storage or redelivery.

The risk of loss or damage to the Goods passes to the Customer upon delivery, and the Customer must inspect the Goods immediately upon receipt.

 
6. Returns

Returns will only be accepted if the Goods are defective or if we made an error in the order. If you wish to return Goods, you must notify us within 14 days of receiving the Goods, providing photographic evidence of any defects or issues.

Returned Goods must be in their original condition and packaging. The Customer is responsible for the costs of returning the Goods unless the return is due to an error made by us. In the event of defective Goods, we may offer a repair, replacement, or refund at our discretion.

 
7. Risk

The risk in the Goods passes to the Customer once they are delivered or collected. You are responsible for insuring the Goods from delivery until payment is made in full. The ownership of the Goods remains with What Plastics until full payment is received.

Until ownership transfers, you must keep the Goods in good condition, separate from any other goods, and insured against all risks.

 
8. Interpretation

In these Terms and Conditions, unless the context requires otherwise:

  • "Business Day" means any day other than Saturday, Sunday, or a public holiday in the UK.

  • "Contract" refers to the agreement formed between What Plastics and the Customer, comprising these Terms and Conditions and any accompanying quotation or order confirmation.

  • The singular includes the plural and vice versa, and headings are for convenience only.

 
9. Termination

We may terminate the Contract immediately if:

  • The Customer is in breach of these Terms and Conditions.

  • The Customer becomes insolvent, enters liquidation, or faces any other similar financial distress.

  • The Customer fails to make payment in accordance with the agreed terms.

Upon termination, we are entitled to recover any outstanding payments for Goods delivered or work performed.

 
10. Limitation of Liability

Our total liability under these Terms and Conditions will be limited to the price paid by the Customer for the Goods in question. We will not be liable for any indirect, special, or consequential loss, including but not limited to loss of profits, loss of business, or damage to reputation.

We do not exclude liability for death or personal injury caused by our negligence or for fraudulent misrepresentation.

 
11. Communications

All notices or communications under these Terms and Conditions must be made in writing, either by hand, post, or email, to the relevant party's registered office or designated contact address. Notices will be deemed received:

  • If delivered by hand, at the time of delivery.

  • If sent by post, 3 business days after posting.

  • If sent by email, at the time the email is sent (provided no delivery failure notification is received).

 
12. Data Protection

What Plastics will process personal data in accordance with applicable data protection laws. For more information on how we handle your personal data, please refer to our Privacy Policy available on our website. By agreeing to these Terms and Conditions, you consent to the processing of your personal data for the purposes of fulfilling our obligations under the contract.

 
13. Circumstances Beyond Control

Neither party will be held liable for any delay or failure to perform its obligations under the Contract due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, strikes, or technical failures. In such events, the party affected will notify the other party and seek to resolve the matter promptly.

 
14. Severance

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, it will not affect the validity of the remaining provisions. The invalid provision will be replaced with a valid provision that reflects the intended meaning as closely as possible.

 
15. Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
